What is an Ontario Certificate of Good Standing

The Ontario Companies Branch of the Ministry of Government Services issues Certificates of Status for companies incorporated in Ontario. A Certificate of Status, Certificate of Good Standing or a Certificate of Compliance are different names for the same thing and the name depends on the province or territory in which you request it. Any company in the World can obtain a Certificate of Good Standing from its country, province or territory of origin.
Certificates of Status are issued when you need to provide some institution or person with confirmation that your Ontario company is in good standing and is up-to-date in its filings.
The Certificate of Status for an Ontario company will provide the name of the company, the Ontario corporation number issued by the Ministry of Government Services and its status whether it is or is not in good standing.
Revenue Canada Agency requires that every Ontario company file a tax return each year. If the company does not file Revenue Canada Agency will send notices and then eventually dissolve the company if it continues to not file. A dissolved company cannot obtain a clear Certificate of Good Standing or Certificate of Status.
An Ontario company has a statute requirement to file an annual return each year and it the return is not filed the company will end up being dissolved by the Companies Branch. A clear Certificate of Status cannot be obtained if a company is in default of not filing its annual returns.
The government does not refund the money if a clear Certificate of Status cannot be issued. Basically it will issue a Certificate of Status that indicates the Ontario company is not in compliance and you will then need to file any outstanding returns and order a new Certificate of Status. A Certificate of Status is not cheap so if you know in advance you have not made your filings you should at the least ensure all Ontario annual returns are filed before ordering your Certificate of Status. If you have some outstanding tax returns but have not been dissolved then you will still receive a favourable Certificate of Status as long as your Ontario annual returns have been filed with the Ontario Companies Branch.
A Certificate of Status is not an Ontario corporate search. If you are trying to determine information about an Ontario company you should have an Ontario Corporate Profile search done rather than ordering a Certificate of Status.
When do you need to obtain a Certificate of Status? Well, if the company is entering into an agreement with another company or individual that company or individual might want to know if the company is in good standing. Sometimes banks or law firms might wish to order a Certificate of Status on a company in cases where property is being sold or for many other reasons. Any company might be asked to provide confirmation to someone or some institution that it is in good standing and a Certificate of Status will be requested.

What is a Nuans Name Search and How is it Used

A Nuans name search is a paper document produced from the Canadian Nuans name search system which checks a proposed company or business name against all other registered company and business names across Canada including trade-marks.
The purpose of the Nuans name search system is to maintain the list of all Canadian companies, partnerships, trade-marks and sole proprietorships across all provinces and territories in Canada in order to ensure duplication does not occur with the registration of a company name.
By comparing the proposed name against the Nuans name search system, any similarity existing between the proposed name and the names in the database, will show up on the Nuans name search report. This will allow you to determine whether you are planning on using a name for your company that is too similar to another name. It is important for your name to be as distinct as possible.
Nuans name search reports must accompany articles of incorporation when incorporating a company in the federal, Alberta, Ontario, New Brunswick, Prince Edward Island and Yukon jurisdictions of Canada.
Some provinces and territories have their own name search system and they do not accept the Nuans name search report. However, it is still advisable to do a preliminary name search through the Nuans system to ensure the name is available since the Nuans system records all names registered across Canada.
The provinces and territories which accept a report from the Nuans system are:
Alberta
New Brunswick
Ontario
New Brunswick
Federal
Federal
Periodically the Nuans name search system will request the provinces and territories to provide a list of all new names registered in each of those provinces or territories where the Nuans report is not accepted and the list is added to the Nuans system.
A company is not allowed to have the same name as another company in Canada. The governments in all jurisdictions need to ensure this does not happen.
Even if the name you propose for your business is different than all other names registered but possibly too close in similarity to another name registered your business could be taken to court and ordered to change its name. You are the one who is expected to ensure you have picked a name that is not similar to any other name registered.
Nuans name search reports are biased in accordance with the Canadian jurisdiction in which the business will be registered. If you are incorporating a company in New Brunswick you will need to obtain a New Brunswick biased report and if you are incorporating in another province the report will have to be for that location. All Nuans name search reports will search the system for names right across Canada.
There is no protection for business names in Alberta and Ontario so you can register a name exactly the same as any other business name that has been registered without obtaining a Nuans name search report.
Notwithstanding this, you should never register a business name using a name that has already been registered by someone else. Even if you do not need a Nuans name search report to register your business name, it is advisable that you do a preliminary Nuans name search report before you register to ensure no one else is using the name regardless.
A preliminary name search can be performed by a registered search house. Preliminary name search results can be provided by email. An average person would not be able to pick up all the conflicts when performing a preliminary name search since nuans search houses are trained for this purpose.

First of all Fido will be able to effortlessly enter and exit his new perch atop the back bumper via a very sturdy looking ramp that if wide enough could handle a wheelchair. Once inside the pup will ride on a plush foam cushion covered with a neat Dog Friendly Element print. In order to keep Rex cool Honda’s Dog Friendly engineers have built in a ventilation fan and to make sure that he won’t go thirsty they have come up with a trick dog bowl that ensures minimal spillage even around the hairiest of hairpins, guaranteed to keep that extra member of your family comfortable even on the longest of car rides.
The Dog Friendly Element is powered by Honda’s reliable 2.4 Liter i-VTEC four cylinder engine and shifted with a five speed automatic transmission that can send power to either the front wheels or with Honda’s Real Time 4WD power all four. The only thing left for Honda to install is a video monitor so that the passengers can check on the family pet while he is riding in his kennel on wheels.
